Solutions / Contract clauses

Contract clause extraction

Every contract you sign is read once, properly, and its key terms land in a register you can query — with each value linked back to the clause and page it was taken from.

Who it is for

Legal and compliance teams with an active contract flow — counsel who are asked what the portfolio says and today have to open the files to answer.

Short answer

Each contract is read once and its key terms — parties, dates, renewal and notice, liability caps, payment and indemnity — are written into a searchable register, with every value linked back to the clause it came from. That is 5–10 minutes per contract instead of an hour, at 90–95% field-level accuracy on standard forms.

The problem

You have the contracts. What you do not have is the answers inside them.

01

Every question means opening files

“Which agreements auto-renew before March?” is a reasonable question with an unreasonable answer: someone spends a day opening PDFs, and the answer is only true until the next contract is signed.

02

The spreadsheet is a partial copy

Somebody started a tracker. It covers the contracts that were live when they started, in the fields that mattered that quarter, and it has been drifting from the actual documents ever since.

03

Deadlines are missed quietly

A notice period that had to be exercised sixty days out is invisible until it is fifty-nine. The cost of that is not legal work — it is another year of a contract nobody wanted.

How it works

From trigger to result, step by step.

01

Take the documents where they are

The DMS, SharePoint, a shared drive or the signing platform. Scanned paper is handled too — OCR runs first, and pages that come through badly are flagged rather than silently half-read.

02

Extract against your schema

Not a generic clause list: the fields your team actually tracks, defined with you up front. Parties, term, renewal mechanics, notice windows, liability and indemnity, payment terms, governing law, assignment, whatever your portfolio turns on.

03

Cite the source, always

Every extracted value carries the clause number, page and the sentence it came from. A lawyer verifies in seconds by looking at the quote instead of reopening the contract.

04

Route what is uncertain

Low confidence, an unusual formulation or a clause that contradicts another in the same document goes to a person with the reason attached. Nothing ambiguous is written to the register as fact.

05

Keep it alive

New contracts and amendments are processed as they are signed, and date-based fields drive alerts — renewals, notice windows, expiries — so the register acts rather than just records.

Before / after

What changes on the ground.

Today, by hand
×Portfolio questions take a day and go stale

×Amendments live separately from the agreement
With the automation running
Portfolio questions are answered from a query
Every executed contract is in the register
Date-driven alerts fire before the window closes
Amendments are linked to the term they change

Honest limits

When this is not the right solution.

·A portfolio of a few dozen contracts is a spreadsheet, kept honestly. We will say so in the mini-audit rather than build a pipeline you do not need.
·This reads contracts; it does not advise on them. Whether a liability cap is acceptable is a lawyer's judgement, and the system exists to put that clause in front of them faster.
·If your contracts are almost all your own paper, unamended, the extraction has little to find — the value is in counterparty paper and negotiated redlines.

Questions we get about this one

On your own templates and common market forms, field-level accuracy is 90–95%. On heavily negotiated or unusual paper it is lower, which is why every field carries a confidence score and low-confidence extractions go to a person instead of into the register. We measure this on your own contracts during the pilot, not on a benchmark set.

Bring us the process that hurts.

The mini-audit is free: we take your version of this process apart and tell you plainly whether automating it pays. If it does, you get a scope and a fixed price.
